Chief Legal Officer

POSITION SUMMARY

The Chief Legal Officer (CLO) reports directly to the CEO and is responsible for leading corporate strategic and tactical legal initiatives.  The CLO advises the organization on all legal matters such as contracts, compliance, and regulatory issues. This position assumes ultimate responsibility for ensuring that the company conducts its business in compliance with applicable laws and regulations.

 

ROLE AND RESPONSIBILITIES

The essential functions include but are not limited to, strategic planning, legal risk, compliance, and the overall regulatory obligations of the company.

 

Strategic Planning

  • A strategic partner who uses an enterprise mindset to ensure compliance, suggest measures to avoid legal risk and anticipate industry change and disruption.
  • Oversees a full range of legal areas including but may not be limited to, healthcare regulatory and reimbursement, litigation, fraud waste and abuse, contracting, risk management, employment, corporate finance, transactions and governance, real estate, intellectual property, privacy, and labor and employment issues.
  • Outlines a five-year vision in alignment with corporate objectives. Formulates a well-defined legal strategy to determine marketing prioritization and resource allocation, and develops the strategy to drive the organization to a premier future market position.
  • Provides senior management with effective advice on company strategies and their implementation, manages the legal function, and obtains and oversees the work of outside counsel.
  • Provides counsel on healthcare laws including those on medical records/privacy, Medicare, Medicaid and other government programs, fraud, and abuse, physician self-referral and anti-kickback laws, patient care, informed consent, patients’ rights, etc.

Legal & Compliance

  • Develop policies, procedures, and processes to ensure business units are following state and federal program regulations, health insurance regulations, and regulatory requirements for business entities.
  • In collaboration with the Compliance Vendor, develop and implement necessary Compliance Programs, the compliance risk assessment methodology, vendor risk management framework, hotline monitoring and investigation procedures, and privacy and breach notification program.
  • Work with Human Resources on reviewing, updating, and developing policies and procedures, and ensure administrative leaders provide adequate training to staff to ensure that they have appropriate knowledge of regulatory issues and requirements to carry out their responsibilities lawfully and ethically.
  • Maintain company records and corporate governance to support external audits and/or any financing or other transactions that may arise from time to time.
  • Advises on legal aspects of the company’s financing, including assessing and advising on current and future business structures and legal entities.

MINIMUM REQUIRED QUALIFICATIONS:

  • JD. degree from an accredited law school
  • 8 to 10+ years of law-related experience
  • Good Standing with Texas Bar
  • Excels in communication, leadership, and time management.
